Michael Sinclair

Michael specialises in advising individuals and their companies on financial and taxation matters.

He supports entrepreneurs and owner managed businesses throughout their growth journey, and if the time comes advises on succession or exit planning.

He takes a commercially driven approach to advising business owners, considering the personal and corporate tax issues, as well as the implications on their short, medium and long term goals.

Michael joined the firm in 2015 as a trainee in the private wealth and estates group where he completed the Associate Chartered Accountant (ACA) and Chartered Tax Adviser (CTA) qualifications. He is now a senior manager in the London tax advisory team, and a member of the firm’s national valuation group.


Key experience

  • Advising UK and non-UK companies in relation to the implementation of share incentives schemes for UK employees,
  • Advising on tax aspects of equity fundraising under the Seed Enterprise Investment Scheme (SEIS), Enterprise Investment Scheme (EIS) and Venture Capital Trust (VCT) schemes,
  • Supporting UK companies expanding outside of the UK, and non-UK companies establishing in the UK,
  • Undertaking share valuations for tax purposes,
  • Supporting clients through business disposals and acquisitions, including tax due diligence, pre-transaction planning and tax-efficient structuring post sale,
  • Reviewing the inheritance tax exposure of corporate structures and providing solutions to mitigate any tax, such as shareholder tax planning or a potential corporate restructuring,
  • Evaluating the suitability of family investment companies and advising on their use for families undertaking inter-generational tax planning.

Interests

Michael lives in South London and is married. Most of his spare time is spent playing or watching sport, since hanging up his rugby boots, he socially plays padel, football, tennis, and squash.
